Terms of Service

These Terms of Service ("Terms") govern your access to and use of Butler (https://trybutler.xyz), operated by Mayank Mehta ("we," "our," or "us"). By using Butler, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use Butler. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using Butler on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Butler is an AI-powered executive assistant that executes tasks on your behalf - including but not limited to booking flights, sending emails, making phone calls, managing your calendar, creating shopping carts, and setting reminders. Butler acts on your explicit instructions and requests your approval before taking irreversible actions such as bookings, payments, or communications sent on your behalf.

3. Your Account

You must sign in with a Google account to use Butler. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@trybutler.xyz if you become aware of any unauthorized use of your account.

4. Acceptable Use

You agree not to use Butler to:

• Violate any applicable local, state, national, or international law or regulation
• Send spam, unsolicited communications, or bulk messages
• Harass, threaten, defame, or intimidate any person
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to Butler's systems, other user accounts, or third-party systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service in any way that could damage, disable, or impair the Service
• Use Butler to generate content that is illegal, harmful, fraudulent, or deceptive
• Circumvent or manipulate Butler's rate limits, credit system, or billing

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.

5. AI Limitations and Your Responsibility

Butler uses artificial intelligence and may produce inaccurate, incomplete, or inappropriate results. You acknowledge and agree that:

• Butler's AI-generated content and actions may contain errors. You are responsible for reviewing all outputs before relying on them.
• Butler will request your approval before executing irreversible actions (bookings, emails, phone calls). You are responsible for reviewing and approving these actions.
• Butler is not a substitute for professional medical, legal, financial, tax, or investment advice. Do not rely on Butler for decisions in these domains without consulting qualified professionals.
• Phone calls made by Butler use AI voice technology. The other party on the call may not be aware they are speaking with an AI. You are responsible for ensuring Butler's phone calls comply with applicable laws in your jurisdiction, including call recording and consent laws.

6. Payments and Subscriptions

Butler offers a free tier and paid subscription plans. For paid plans:

• Subscriptions are billed monthly through Stripe.
• You authorize us to charge the payment method you provide for recurring subscription fees.
• You may cancel your subscription at any time from your billing settings. Cancellations take effect at the end of the current billing period.
• We do not offer refunds for partial months or unused portions of a subscription period.
• We reserve the right to change our pricing with 30 days' notice. Price changes will apply to the next billing cycle after the notice period.

7. Intellectual Property

Our property: Butler, including its software, design, branding, trademarks, and documentation, is owned by us and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

Your property: You retain ownership of all content you provide to Butler, including your profile data, task instructions, and any materials you upload. By using the Service, you grant us a limited, non-exclusive license to use your content solely to provide and improve the Service.

AI outputs: Content generated by Butler in response to your requests (e.g., email drafts, research summaries, itineraries) is provided for your use. We do not claim ownership of AI-generated outputs produced in response to your specific instructions.

8. Third-Party Services and Actions

When Butler books flights, makes calls, sends emails, or interacts with third-party services on your behalf, those actions are subject to the terms and conditions of the relevant third party (airlines, hotels, businesses, etc.). You acknowledge that:

• Butler is not responsible for the actions, policies, or performance of third-party services.
• Flight bookings, hotel reservations, and other transactions are governed by the provider's terms, cancellation policies, and pricing.
• Butler facilitates these transactions but is not a party to them.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT OR ACTIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Butler, its operator, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) actions taken by Butler on your behalf that you authorized or approved.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these Terms, abusive behavior, fraud, non-payment, or extended inactivity. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your account data in accordance with our Privacy Policy.
• Any outstanding payment obligations survive termination.
• Sections 9, 10, 11, 13, and 14 survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved as follows:

• Informal resolution: Before filing any formal proceeding, you agree to contact us at support@trybutler.xyz and attempt to resolve the dispute informally for at least 30 days.
• Binding arbitration: If informal resolution fails, you agree that any dispute shall be resolved by binding arbitration administered by JAMS in San Mateo County, California, in accordance with its Streamlined Arbitration Rules. The arbitrator's decision shall be final and binding.
• Class action waiver: You agree that any disputes will be conducted on an individual basis and not as a class action, collective action, or representative proceeding.
• Exceptions: Either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or unauthorized access to the Service.

14. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Notices: We may send notices to you via the email address associated with your account. You may send notices to us at support@trybutler.xyz.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of Butler after the effective date of revised Terms constitutes your acceptance of the changes.
